Professional Indemnity Policy
Governing regulatory standard, professional standards of care, and scope of indemnity limitations applicable to Jabal Life Realty operations.
1. Purpose
Jabal Life Realty ("Jabal," "Jabal Life Realty," "we," "us," or "our") is committed to providing professional real-estate, investment advisory, transaction coordination, and related support services with appropriate care, skill, diligence, and professionalism. This Professional Indemnity policy highlights our rigorous framework of corporate standards and provides our clients transparent operational protection rules.
2. Professional Services
Depending on the engagement agreed with a client, Jabal Life Realty may provide professional services including: Real-estate investment consultation; Property and investment opportunity research; Investment studies and market analysis; Real-estate transaction coordination; Property due-diligence coordination; Investment opportunity assessment; Company formation coordination; Visa and residency-related administrative support; Property-management coordination; Introductions to relevant professional service providers; Assistance with investment structuring and transaction processes; and Other real-estate or investment-related advisory and coordination services expressly agreed with the client.
3. Standard of Professional Care
Jabal Life Realty will use reasonable professional care, skill, and diligence in performing services within the agreed scope of an engagement. We align our consulting methodologies and coordination pathways with the regulatory laws governing real estate and professional services in the Kingdom of Saudi Arabia.
4. Scope of Responsibility
Jabal Life Realty's professional responsibility is limited to the services expressly agreed with the client within the formal scope of work. No extra-contractual or oral services are deemed professional responsibilities unless formal, written variations are executed.
5. Reliance on Information
Jabal Life Realty may rely upon information provided by clients, property owners, developers, brokers, governmental authorities, consultants, professional advisers, financial institutions, and other third parties without independent verification, except to the extent specifically agreed in writing.
6. Investment and Market Information
Any market information, investment analysis, projections, estimates, forecasts, expected returns, rental assumptions, capital appreciation estimates, or financial models supplied by Jabal Life Realty are subject to assumptions and market conditions. Past performance is not indicative of future yield, and Jabal Life Realty is not liable for fluctuations in historical forecasts.
7. Property Transactions
Where Jabal Life Realty assists with a property transaction, our professional responsibility is limited to the activities included in the applicable engagement. Contracts, transfers, deeds, escrow structures, and final closings remain the distinct domain of the registered parties and licensed legal/governmental functionaries.
8. Company Formation and Government Services
Where Jabal Life Realty provides company-formation, visa, residency, licensing, or governmental-process support, our role is generally one of advisory, administrative, and coordination support. Ultimate statutory decisions remain within the absolute purview of Saudi government bodies.
9. Professional Errors or Omissions
If a client believes that Jabal Life Realty has made a material professional error or omission within the scope of an agreed engagement, the client should notify us promptly in writing. Jabal reserves the internal and equitable right to rectify, review, or re-perform the affected services at our expense prior to any secondary litigation or claim filing.
10. Professional Indemnity Claims
A professional indemnity claim should be submitted in writing to Jabal Life Realty at the contact details stated in this document or in the applicable engagement agreement. The claim statement must specify the nature of the alleged error, direct causal links, and documented financial loss.
11. Insurance Status & Parameters
Insurance Status: Active & Fully Paid | Insurer: Tawuniya Cooperative Insurance Company | Policy Number: PL-8902-JBL | Policy Period: Annual Renewal Structure | Coverage Limit: SAR 10,000,000 per Single Claim / SAR 20,000,000 Aggregate | Territorial Scope: Kingdom of Saudi Arabia | Claims Notification Requirements: Written filing within 14 calendar days of discovery of occurrence.
12. Policy Conditions
Where professional indemnity insurance applies, coverage may be subject to the terms, conditions, exclusions, deductibles, notification requirements, territorial restrictions, retroactive dates, and other provisions of the relevant insurance policy. Claims falling outside these parameters shall not be payable by either Jabal Life Realty or the underwriting partners.
13. Exclusions and Limitations
To the maximum extent permitted by applicable law, Jabal Life Realty shall not be responsible for losses arising solely from: Market movements; Changes in property values; Changes in rental rates; Changes in interest rates; Changes in government policy or regulation; Government decisions or delays; Third-party fraud or misconduct; Incorrect information supplied by a client or third party; Events outside Jabal Life Realty's reasonable control; Client decisions contrary to professional advice or information provided; Failure by the client to conduct appropriate due diligence; Failure to obtain independent professional advice where recommended; or Investment risks that were reasonably foreseeable and inherent in the relevant transaction.
14. Client Duty to Mitigate Loss
Where a client believes that an error, omission, or professional issue may have caused or may cause loss, the client should take reasonable steps to mitigate or prevent further loss. Failure to execute active, prompt mitigation steps will invalidate or proportionately reduce any claimed indemnity payouts.
15. No Guarantee of Investment Performance
Professional indemnity protection does not constitute a guarantee of investment performance. The client explicitly acknowledges that real-estate capital, developmental investments, and commercial assets carry intrinsic transactional hazards, separate from advisory coordination.
16. Third-Party Professionals
Clients may be referred or introduced to independent third parties, including: Lawyers; Accountants; Tax advisers; Property valuers; Engineers; Architects; Financial institutions; Developers; Property owners; Brokers; Government service providers; and Other specialist consultants. These referrals are offered strictly for convenience; Jabal Life Realty maintains no liability over actions executed by these independent external specialists.
17. Conflicts of Interest
Jabal Life Realty will take reasonable steps to identify and appropriately manage material conflicts of interest arising within the scope of its professional services. In compliance with local Saudi real-estate guidelines, transparent disclosures will be issued immediately upon discovering any dual agency or representative overlapping interests.
18. Confidentiality
Jabal Life Realty will take reasonable steps to protect confidential client information. All investor data, developmental financial plans, and transactional documentations are classified secure, accessible strictly to authorized team members and mandated national regulatory agencies.
19. Records and Documentation
Jabal Life Realty may maintain records relating to client engagements, communications, transactions, due diligence, recommendations, documents, and professional services. These archived assets serve as evidentiary references validating compliant care in the execution of our duties.
20. Notification of Circumstances
Where a client becomes aware of circumstances that may reasonably give rise to a professional claim, the client should notify Jabal Life Realty as soon as reasonably practicable. Delays in declaring emergent situations limit legal recovery resources and compromise policy conditions.
21. Limitation of Liability
To the maximum extent permitted by applicable law, Jabal Life Realty's liability arising from professional services shall be subject to the applicable engagement agreement and mandatory provisions of Saudi Arabian law. Total capped liabilities shall not exceed the direct contractual fees paid during the contract duration.
22. Indemnification
To the extent permitted by applicable law, a client may be responsible for losses or claims arising from: Materially inaccurate information supplied by the client; Fraudulent or unlawful conduct by the client; Unauthorized use of Jabal Life Realty's services; Breach of the applicable engagement agreement; or Instructions that the client knew or should reasonably have known were unlawful or materially misleading.
23. Governing Law
This Professional Indemnity Document shall be governed by and interpreted in accordance with the laws and regulations applicable in the Kingdom of Saudi Arabia. Disputes that are unresolved through structured arbitration shall be submitted to the competent commercial courts in Madinah.
24. Relationship With Other Documents
This document should be read together with: Jabal Life Realty Terms of Service; The applicable client engagement agreement; Applicable proposals and statements of work; Fee and payment terms; Privacy Policy; Applicable insurance documentation; and Any other written agreement applicable to the relevant service.
25. Amendments
Jabal Life Realty may update this document from time to time to reflect changes in its services, professional practices, applicable law, insurance arrangements, or regulatory requirements. Continued usage of advisory assets constitutes implicit acceptance of modern revisions.
